These Terms & Conditions govern the use of the Fatiha Tech website, software products, subscriptions and IT services. Please read them carefully before using our website or engaging our services. Specific projects, subscriptions, software licences or service agreements may carry additional or different terms, and in case of any conflict, the signed agreement or written quotation for that engagement will prevail.
1. Introduction
Fatiha Tech ("Fatiha Tech", "we", "us" or "our") is a Bangladesh-based IT and software solutions company operating the website fatihatech.com. These Terms explain the basis on which we provide our website, software and related services to visitors, customers and authorised users ("you", "your", "the Customer").
2. Acceptance of Terms
By accessing our website, requesting a demo, submitting a service request, purchasing a subscription or licence, or using any software we supply, you confirm that you have read, understood and accepted these Terms. If you are accepting on behalf of a company or organisation, you confirm that you are authorised to bind that organisation.
If you do not agree with these Terms, please discontinue use of our website and services.
3. About Fatiha Tech
Fatiha Tech provides business management and automation software along with related IT services for small businesses, SMEs, retailers, trading houses, manufacturers, service providers and other organisations. Our work typically covers software supply, configuration, customisation, implementation, training and ongoing technical support.
4. Scope of Services
Depending on the agreement in place, our services may include:
- Business management software, POS software and inventory management
- Accounting, sales and purchase management modules
- E-commerce solutions and website development
- Custom software development and mobile application development
- Business automation and HR & payroll solutions
- Data migration, software implementation and staff training
- Technical support, maintenance and updates
- API and third-party integrations
- Hosting or server-related IT services, where applicable
The exact modules, features, deliverables, timelines and support level applicable to you are those set out in your quotation, proposal, subscription plan or service agreement. Not every feature described on our website is included in every plan or project.
5. User Accounts
Some services require an account. When an account is created for you or by you:
- You must provide accurate and current business and contact information.
- You are responsible for keeping login credentials confidential.
- You are responsible for the activity of all users you create or authorise, including branch and staff users.
- You should notify us promptly if you suspect unauthorised access to your account.
6. User Responsibilities
You agree to:
- Use the software only for lawful business purposes.
- Enter accurate business, product, financial and customer data.
- Maintain suitable devices, internet connectivity and hardware (such as printers, scanners or POS peripherals) required for operation.
- Assign responsible personnel for implementation, data entry, verification and training sessions.
- Comply with applicable laws, including tax, accounting and consumer-protection requirements relevant to your business.
7. Software Usage
Software supplied by Fatiha Tech must be used within the limits of your plan or agreement, which may define the number of users, branches, warehouses, outlets, companies, transactions or storage allocated to you. Usage beyond those limits may require an upgrade or additional charges.
You may not attempt to reverse engineer, decompile, copy, resell, sublicense, rent or redistribute our software or its source code unless expressly permitted in writing.
8. Software Licence / Subscription
Unless your agreement states otherwise, software is provided under a limited, non-exclusive, non-transferable licence or subscription for your internal business use only. Licences and subscriptions may be:
- Subscription-based — valid for the billing period and renewable on payment.
- Licence-based — valid for the scope, version and duration stated in the agreement.
Ownership of the underlying software, source code and related materials remains with Fatiha Tech or its licensors, except where a written agreement expressly transfers specified rights for custom-developed work.
9. Orders and Service Requests
Orders and service requests may be placed through our website, email, phone or in person. An order is confirmed only after we accept it in writing and, where applicable, the agreed advance payment is received. We may decline or postpone a request where the requirement is unclear, technically unfeasible, outside our service scope or inconsistent with these Terms.
10. Pricing and Payment
- Prices are quoted in Bangladeshi Taka (BDT) unless stated otherwise and may exclude applicable VAT, taxes or government charges.
- Prices shown on our website are indicative and may change; the price in your quotation or invoice applies to your engagement.
- Development and implementation projects usually follow a milestone or phase-based payment schedule.
- Subscriptions are payable in advance for each billing period.
- Third-party costs (such as domains, hosting, SMS, payment gateway, courier or map services) may be billed separately and are subject to the provider's own pricing.
- Overdue payments may lead to suspension of services, support or subscription access.
11. Intellectual Property Rights
All rights in our software, platform architecture, modules, designs, documentation, brand name, logo and website content belong to Fatiha Tech or the respective rights holders. Nothing in these Terms transfers ownership of our intellectual property to you.
Where a project agreement assigns rights over specific custom deliverables to you, that assignment applies only to the deliverables described and takes effect after full payment. Reusable frameworks, libraries and pre-existing components remain our property.
12. Customer Data and Content
You retain ownership of the business data and content you enter into or upload to the software, including product, inventory, accounting, customer and employee records. You are responsible for ensuring that you have the right to store and process that data.
We process customer data to deliver, configure, maintain and support the services as described in our Privacy Policy. We do not access customer business data beyond what is reasonably required for these purposes.
13. Third-Party Services and Integrations
Our solutions may connect to third-party services such as payment gateways, SMS providers, courier services, accounting tools, hosting providers or other APIs. These services are governed by their own terms, pricing and availability. We are not responsible for changes, downtime, policy updates, rejections or discontinuation on the third party's side, although we will make reasonable efforts to advise you and propose alternatives where feasible.
14. Service Availability
We work to keep our services stable and available. However, availability may be affected by internet connectivity, hosting infrastructure, third-party services, power interruptions, device issues at your premises or events beyond our reasonable control. Unless a specific availability commitment is stated in your written agreement, we do not guarantee uninterrupted or error-free operation.
15. Maintenance and Updates
We may release updates, patches, security fixes and improvements from time to time. Planned maintenance is normally scheduled to minimise disruption, and we aim to inform affected customers in advance where practical. Urgent maintenance may be carried out without prior notice when necessary to protect system integrity or data.
16. Technical Support
Technical support is provided in line with your plan, project agreement or maintenance contract. The channels, response approach and coverage period applicable to you are those confirmed in writing. Support scope may exclude issues caused by third-party services, customer hardware or network problems, unauthorised modifications or misuse. Additional work outside the agreed support scope may be quoted separately.
17. Data Backup Responsibility
Where a backup service is included in your plan or agreement, we will perform backups as described in that agreement. Regardless of any backup arrangement, we recommend that customers keep their own copies of critical data and exports where the system allows. We are not liable for data loss arising from customer-side deletion, incorrect data entry, unauthorised user activity, local device failure or third-party hosting incidents beyond our control.
18. Prohibited Activities
You must not:
- Use our services for unlawful, fraudulent or misleading activity.
- Attempt to gain unauthorised access to our systems, servers or other customers' data.
- Introduce malware, run intrusive scanning, or interfere with system performance.
- Copy, resell or redistribute our software, documentation or designs without permission.
- Share licence keys or account credentials with unauthorised parties.
- Use the services to store or transmit content that infringes the rights of others.
19. Suspension and Termination
We may suspend or terminate access to services where there is non-payment, breach of these Terms, misuse of the software, security risk, or a legal requirement to do so. Where reasonable, we will give notice and an opportunity to resolve the issue. Termination does not remove any payment obligation for work already performed or periods already used.
20. Cancellation
You may cancel a subscription or ongoing service by giving written notice, subject to the notice period and conditions in your agreement. For development or implementation projects, cancellation is handled based on the phase completed, work delivered and costs already incurred. Cancellation does not automatically create an entitlement to a refund.
21. Refund Policy Reference
Refund eligibility, non-refundable items, request procedures and processing timelines are described in our Return & Refund Policy, which forms part of these Terms.
22. Disclaimer
Our services are provided on a professional best-effort basis. Except where expressly stated in a written agreement, we make no warranty that the software will meet every requirement not documented in the agreed scope, or that it will operate without interruption or defect. Business decisions, statutory filings, tax calculations and financial reporting remain your responsibility, and system outputs should be verified by your authorised personnel.
23. Limitation of Liability
To the extent permitted by applicable law, Fatiha Tech shall not be liable for indirect, incidental or consequential losses, including loss of profit, loss of business opportunity, loss of goodwill or loss of data arising from causes outside our control. Where liability cannot be excluded, our total liability for any claim shall not exceed the amount paid by you to Fatiha Tech for the specific service giving rise to the claim during the three (3) months preceding the claim, unless a different limit is agreed in writing.
24. Indemnification
You agree to indemnify and hold Fatiha Tech harmless against claims, damages and reasonable costs arising from your unlawful use of the services, your breach of these Terms, inaccurate or unauthorised data supplied by you, or infringement of third-party rights through content you provide.
25. Changes to These Terms
We may update these Terms to reflect changes in our services, business practices or legal requirements. The revised version will be published on this page with a new "Last Updated" date. Continued use of our website or services after publication constitutes acceptance of the updated Terms.
26. Governing Law
These Terms are governed by the laws of the People's Republic of Bangladesh. Any dispute shall first be addressed through good-faith discussion between the parties, and, failing resolution, shall be subject to the jurisdiction of the competent courts of Bangladesh.
